Terms of Service and Licence (EULA)
Version 2.0 · Effective 16 October 2026 · IBIOS Limited (company number NI743167)
These terms are an agreement between IBIOS Limited, a private limited company registered in Northern Ireland (company number NI743167), registered office 10 Ballyclare Road, Doagh, Ballyclare, Northern Ireland, BT39 0PE ("IBIOS", "we", "us"), and the business that subscribes to or uses our software ("you" or the "Customer").
They cover the IBIOS platform, its web app and mobile apps, its integrations and this website (together, the "Service"). The Service is for businesses. It is not offered to consumers.
1. Agreement
- By creating an account, accepting an order form, clicking to agree, or using the Service, you accept these terms. The person doing so confirms they have authority to bind the Customer.
- These documents form part of these terms: the Acceptable Use Policy, AI Use and Limitations, the Data Processing Terms and the Privacy Policy.
- If documents conflict, this order applies: a signed order form, then these terms, then the Data Processing Terms, then the other documents. For personal data, the Data Processing Terms always prevail.
- We may update these terms. We will give at least 30 days' notice of a significant change by email or in the app. If you do not accept a change, you may end your subscription before it takes effect.
2. The Service
- IBIOS is cloud-hosted business software for trade and retail businesses. Depending on your plan and settings it can include customers, quotes, jobs, orders, stock, payments records, calendars, staff tools, AI assistance and connections to other services.
- Features marked beta, preview or early access may change or be withdrawn and carry no service commitment.
- We may improve and change the Service. We will not remove a core feature you pay for without reasonable notice.
3. Licence (EULA)
- Grant. While your subscription is active and you comply with these terms, we grant you a non-exclusive, non-transferable, non-sublicensable licence for your authorised users to access and use the Service, including installing and using our mobile apps on devices they control, for your internal business purposes.
- Restrictions. You must not: copy, modify or create derivative works of the software; reverse engineer, decompile or disassemble it except where the law allows this despite this restriction; rent, resell or provide it to others except as your plan allows; remove proprietary notices; or use it to build a competing product or train a competing AI model.
- App stores. If you download a mobile app from an app store, the store's own terms also apply. The store is not responsible for the app or for support.
- Ownership. We and our licensors own the Service and all intellectual property in it. Apart from this licence, no rights are granted.
- Open-source components. The Service includes open-source software, used under its own licence terms.
4. Accounts and security
- You are responsible for activity under your account, for your users, and for keeping sign-in details secure. Tell us promptly at hello@allforone.ai if you suspect misuse.
- You control which of your users can see and do what, using the permission settings in the Service.
- Each customer's data is kept separate from other customers' data. This separation is enforced in the database.
5. Your data
- "Customer Data" is the data you or your users put into, or create in, the Service.
- You own your Customer Data. You give us permission to host, process and transmit it only to provide, secure and support the Service, and as set out in the Data Processing Terms.
- You confirm you have the rights, notices and consents needed for us to process Customer Data on your behalf. This includes any calls you record and any messages you send to your own customers.
- We do not use identifiable Customer Data to train AI models. We may use aggregated, de-identified information, which identifies neither you nor any person, to run and improve the Service.
- When your subscription ends, you can export your Customer Data for 30 days. After that we delete it, except where the law requires us to keep it. Account and audit records we hold as controller are kept as set out in the Privacy Policy.
6. Connections to other services
- You can connect the Service to third-party services, such as QuickBooks Online, Xero, Google, Wix, GoHighLevel or ShopWired. Connecting one is your choice, and your use of it is also governed by that provider's terms.
- When you connect one, you tell us to send and receive the data described in the Privacy Policy and in the Service's settings. You can disconnect at any time.
- You are responsible for checking that records sent to your accounting system are correct before you rely on them for tax or statutory filings. We are not responsible for third-party services we do not control, or for changes they make.
7. Fees
- You will pay the fees for your plan as shown in your order form or in the Service, in pounds sterling, plus VAT where it applies.
- Unless we agree otherwise in writing, fees are payable in advance and are non-refundable except where the law requires.
- We may charge interest on late payments under the Late Payment of Commercial Debts (Interest) Act 1998. We may suspend the Service for non-payment after giving 14 days' written notice.
- We may change fees with at least 30 days' notice, taking effect from your next renewal.
8. Acceptable use and AI
- You must follow the Acceptable Use Policy.
- AI features can produce wrong or incomplete results. You must review AI output before relying on it or sending it to anyone. See AI Use and Limitations.
9. Our commitments and their limits
- We will provide the Service with reasonable skill and care.
- Apart from what these terms expressly say, and as far as the law allows, the Service is provided "as is". We do not promise it will be uninterrupted or error-free, or that AI output will be accurate.
10. Liability
- Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot be limited by law.
- Subject to clause 10.1, neither party is liable for loss of profit, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss.
- Subject to clause 10.1, we are not liable for loss caused by your reliance on AI output that you did not check, or by messages sent from your account.
- Subject to clause 10.1, each party's total liability under these terms is limited to the fees paid or payable by you in the 12 months before the event giving rise to the claim. This cap does not apply to your obligation to pay fees, or to your liability under clause 11.
- The parties agree these limits are reasonable, given the fees and your responsibility to check AI output and keep your own records.
11. Your indemnity
You will compensate us for losses, costs and reasonable legal fees arising from claims by third parties that result from your breach of the Acceptable Use Policy, Customer Data that you had no right to provide, or messages sent from your account.
12. Suspension and ending the agreement
- We may suspend some or all of the Service, with notice where practical, for unpaid fees, a serious breach of the Acceptable Use Policy, a security threat, or a legal requirement. We will restore it promptly once the cause is resolved.
- Your subscription runs for the period in your plan and renews automatically unless either party gives notice before the renewal date, as shown in your plan.
- Either party may end the agreement if the other commits a material breach and does not put it right within 30 days of written notice, or if the other becomes insolvent.
- Clauses 3.4, 5, 10, 11, 13 and 15 continue after the agreement ends.
13. Confidentiality
Each party will keep the other's confidential information confidential and use it only for this agreement, unless disclosure is required by law.
14. Events outside our control
Neither party is liable for delay or failure caused by events beyond its reasonable control, provided it takes reasonable steps to reduce the effect.
15. General
- You may not transfer this agreement without our consent. We may transfer it to a successor of our business.
- These terms are the entire agreement on their subject.
- No one else has rights under these terms under the Contracts (Rights of Third Parties) Act 1999.
- Notices to us go to hello@allforone.ai, with a copy by post to our registered office. Notices to you go to your account email.
- If any part of these terms is unenforceable, the rest still applies.
- These terms are governed by the law of Northern Ireland, and the courts of Northern Ireland have exclusive jurisdiction. Either party may still seek urgent relief in any court that has jurisdiction.
